Announcement of intention to float on AIM

Nektan plc (AIM: NKTN), an international B2B mobile gaming platform provider, today announces its intention to raise approximately £4m through a placing of new shares (“Placing”) and to seek admission of its issued and to be issued ordinary shares (“Ordinary Shares”) to trading on AIM (“Admission”). Dealings are expected to commence on AIM on or after 17th October 2014. Panmure Gordon (UK) Limited is acting as nominated adviser and sole broker to the Company.

The Directors believe that Admission is an important step in the Company’s and its subsidiaries’ (“the Group”) development, and will assist in enhancing the Group’s credibility within commercial discussions while providing the Company the opportunity to access capital when commercial opportunities predicate it. Additionally, the funds raised via the Placing will be used to expand the Group’s business development and product development; provide sufficient working capital to support the operation of the Group’s end-to-end platform, ‘Evolve’; and provide headroom for further investment in product development to expand its mobile gaming suite.

Key Strengths and Opportunities

Mobile gaming channels to market
Nektan was formed in 2011 by Gary Shaw to exploit white label gaming opportunities globally. Nektan is a developer and operator of mobile games in the regulated, interactive real money gaming (“RMG”) space and the freemium gaming space (free of charge but where money is charged for additional functionality or features), delivering white label implementations to large commercial organisations that have established online audiences. The Company’s two live primary mobile gaming channels to market, RMG casino and freemium bingo, are intended to be at the forefront of on-demand mobile gaming entertainment, and two further channels, RMG bingo and freemium casino, are planned to commence in 2015.

Increasing demand for on-the-go entertainment and mobile gaming content
By 2017, it is estimated that there could be 3.4 billion smartphones and 905 million tablets in active use worldwide. Nektan’s market opportunity is driven by the increase in ownership of these mobile devices, as well as the increasing demand for on-the-go entertainment on those devices. In addition, the growing demand for gaming content on mobile devices gives rise to estimates of €19 billion of gross gaming revenue being generated from mobile gaming by 2018.

Innovative and scalable technology that provides a disruptive market opportunity
Nektan’s business is centred on its wholly-owned end-to-end platform, ‘Evolve’, which is purely focussed on supporting mobile gaming across all major mobile and touch devices (as opposed to desktop), ensuring its products provide the optimal mobile entertainment experience for end users. The bespoke nature of Evolve gives flexibility to meet new market demands, ensuring it has a speed-to-market advantage and the ability to produce a partner branded solution in a matter of weeks. The platform also offers scalability without introducing technical complexity across both RMG and freemium channels through a connected single network and centralised back-office environment.

US market opportunity
A dual track approach has been taken in regard to developing Nektan’s opportunities in the US. The first track is for its established joint venture, Broadcast Gaming, to deliver freemium mobile gaming content to established agency targets that retain large online audiences. The Company plans to use celebrity endorsements to promote the freemium bingo product.

The second track would see the Company deliver mobile platforms to tribal casino operators to provide Class II and freemium gaming content, representing a major opportunity to access the $27 billion tribal gaming market.

Partnerships and commercial pipeline
Nektan targets large commercial organisations that have established online audiences for its white label gaming offer. The Company manages the full customer experience and all back-office operations, allowing the partner to solely focus on marketing the product to its customers as a distribution network. The Company currently has a number of live white label partners including Go Win Casino, Red8Casino, William Hill and Winzino. In addition, their contracted pipeline includes RTL Group and City A.M.

Placing and use of Proceeds
The net proceeds of the Placing will be used to expand the Group’s sales, business development and product development; provide sufficient working capital to support the operation of the ‘Evolve’ platform and mobile gaming channels; and provide headroom for further investment in product development to expand its mobile gaming suite.

Gary ShawExecutive Chairman (age 52)

Gary founded the business as a spin out from a joint venture with GTECH in 2011. Gary is an entrepreneur with a consistent track record of creating significant shareholder value. In 1994 he left Johnson Press PLC to start and self-fund Hughes Rae. Hughes Rae became one of the pioneers of internet application development across Europe working in the retail bank and pharmaceutical sectors, which he sold in 1999 to Morse PLC (at that point a FTSE 250 company). In 2000, Mr Shaw left Morse to join Victor Chandler establishing the casino and poker products. Mr Shaw contributed to setting up the world’s first poker network which launched in conjunction with Tribeca tables, and also worked to establish the first European white label gaming business, launching white label deals with the Racing Post and Virgin Media.

Mr Shaw left Victor Chandler in 2002 to establish his own gaming company, St Enodoc, which acquired the Gibraltar-based underperforming assets of Gala Interactive. He led the recovery of the business, launching a series of gaming business ventures, including both the IPN Poker network with Boss Media, and in 2004 the IBN Bingo Network. St Enodoc became Europe’s largest end-to-end white label operator with 84 partners in 24 countries including Virgin Games, Yahoo, The Daily Mail and Sportingbet. Mr Shaw was the Executive Chairman when St Enodoc was acquired by GTECH-Lottomatica for $55 million in 2008. Mr Shaw remained with GTECH-Lottomatica working in the US, until forming Nektan.

David SparksChief Financial Officer (age 48)

David joined Nektan as Chief Financial Officer in September 2014 responsible for all aspects of the Group’s finance, HR and legal functions. A chartered management accountant and economics graduate of the University of Sheffield, Mr Sparks has experience in managing financial operations gained during a career spanning more than 25 years, and has held senior positions in London as well as in Paris and Latin America. Most recently he was chief financial officer for London Capital Group Holdings Plc, an AIM-listed provider of online trading services for retail, professional and institutional traders. Authorised and regulated by the FCA and trading as Capital Spreads, the group also operated white label partnerships for a number of leading brands.

Previously he was at Sportingbet where he was Director of Financial and Strategic Projects, London from 2004 to 2013 and Finance Director, Americas from 2001 to 2004. Prior to this he held various roles at Arjo Wiggins Appleton, the global manufacturer of creative and technical paper including Regional Financial Controller for the Antalis distribution division based in the UK, Divisional Business Controller for the Printing & Writing division based in Paris and the Finance Director of Witcel S.A. based in Argentina.

Sandeep ReddyNon-executive Director (age 46)

Sandeep is the co-founder of Peepul Capital, an Indian private equity firm with approximately $700 million of investments. Prior to the launch of Peepul Capital in 2000, he had 10 years of experience in Strategy Consulting with PricewaterhouseCoopers LLP in San Francisco and with Andersen Consulting in London. Mr Reddy has been one of the early participants in the rapidly evolving Indian private equity industry having been active for over ten years. He takes overall responsibility in defining and executing Peepul Capital’s strategy. Mr Reddy is a Director of VTA, a substantial shareholder in the Company. Mr Reddy received a BS in Computer Science and Finance from Utah State University and an MBA from IMD, Switzerland.

Alan Turner – Non-executive Director (age 58)

Alan is a co-founder, director and chief operating officer of Disruptive Tech Limited (“DTL”), an active investor in technology-centric businesses. He represents DTL on the boards of a number of its portfolio companies, which included Nektan before DTL distributed its shares by way of an in specie dividend, and has been involved in various aspects of early stage investing since exiting his own technology company, Pontis Consulting, in March 1999. His primary areas of interest and expertise are technology, gaming and payments. He has been a director of many growth companies, including Interest Labs (UK) Limited and Xen Inc. and was previously a director of Highland Fund Managers Limited.

Jim WilkinsonNon-executive Director (age 48)

Jim is Chief Financial Officer of Lonrho Limited, an African-facing conglomerate which predominately operates in the agricultural sector, having joined in August 2013. Prior to this role he held the position of Chief Financial Officer at Sportingbet Plc between 2008 and 2013, which included the transition from AIM to the FTSE250 before the business was sold to William Hill and GVC in 2013, Johnson Service Group PLC between 2004 and 2007, and Informa Group PLC between 1997 and 2004. All three companies were quoted on the London Stock Exchange. Mr Wilkinson is a qualified chartered accountant, having trained with Touche Ross where he worked for eight years.

Executive management

Matthew SunderlandChief Operating Officer (age 41)

Matthew joined the Group as Chief Operating Officer in August 2013 responsible for executing the Group’s revenue strategy and global gaming operations. Before joining Nektan, Mr Sunderland was Chief Operating Officer and Executive Board Director of Probability Plc., an AIM-listed mobile gambling company. His remit was to drive revenues from all commercial business units with full P&L responsibility and ownership of business strategies under a Gibraltar gaming licence. During his tenure, Probability achieved three years of consecutive record revenue growth. Probability was acquired by GTECH in May 2014.

Prior to that Mr Sunderland spent five years at St Minver, the e-gaming white label (bingo, casino & poker) network which was acquired by GTECH in 2007, as Group Marketing Services Director. Prior to this, he held various senior commercial positions within the TV and Cinema marketplace as Marketing Director of Carlton Screen Advertising, Head of Commercial Marketing EMEA at CNN International and Head of Marketing & New Media at Universal Studies TV Networks. Mr Sunderland holds a BA in Humanities from University of Greenwich.

Gary Shaw, of NEKTAN, talks to eGaming Review about the company’s role in the mobile gaming industry

NEKTAN has only recently surfaced in the mobile gaming industry. eGR interviews their Founder and Executive Chairman to get to know them a little better.

eGaming Review (eGR): For the mobile slot gamer there is obviously a lot of choice in the games available to play. What would you say is NEKTAN’s most exciting slot game, and what makes it stand out?

Gary Shaw (GS): I question that there is lot of choice when you look at the mobile offerings in market. Sure, there are some good games, but quality is variable and it’s obvious who has invested in mobile and who has not. Right now we’re really happy with how League of Dragons is performing on William Hill Vegas.  The double progressive and integrated skill bonus rounds make it stand out from the crowd and importantly generate healthy returns to the operator.

eGR: Is there anything else in NEKTAN’s catalogue that you feel readers should know about?

GS: At ICE we’re launching a suite of 14 brand new mobile-first HTML5 and Native slots. These great-looking games span a range of creative, math and volatility to give operators a lot of flexibility to enhance and differentiate their mobile lobbies.

eGR: For many mobile gaming operators the iOS 7 Safari issue is the elephant in the room. Have NEKTAN taken any steps in deal with this problem?

GS: If you mean the fact that the browser address bar and footer bar appear when the user touches the top or bottom of their screen, then yes, we have a work-around for this. Fundamentally it’s clear that Apple want to push all content into Apps, so we have to pay attention. That’s why we’ve built a flexible HTML5 mobile lobby that can be easily re-branded and which can be wrapped into a native iOS application and allows operators to deliver a usable HTML5 game experience to players. We know that some operators have their own in-house native lobbies, but we are equally happy to license ours to anyone who wants to short-circuit the process.

eGR: How important is distribution for mobile gaming? What’s NEKTAN’s strategy in terms of present and future distribution?

GS: We completely understand that operators are under constant pressure to maximize the productivity of their technical teams which is why we’re delighted to announce that we’re joining the Leander platform, and therefore the Amaya network. Our integration team tells us that we will be able to distribute to a large number of operators in Q1 2014.

eGR: NEKTAN offers a white-label casino solution. What do you feel are the key aspects of delivering white-label gaming and how is NEKTAN positioned to provide these features?

GS: We always start from the perspective of our reputable gaming heritage, licensing regime and compliance. NEKTAN is licensed by the Government of Gibraltar which is universally recognised as a leading jurisdiction in regulated remote gaming. The brands that we work with rely on our ability to safeguard them from the potential risks and threats that can exist in gaming. We closely couple this with an experienced client service team who work closely with our clients interacting across all levels to deliver world-class Customer Service and CRM. Our programmes optimise player yield whilst managing issues such as fraud, payments and responsible gaming compliance. Our mobile lobby, for example, creates a unique and innovative user experience that is easily customised and branded to suit our white-label partner brands. When you add to this our great games and scalable back-office we genuinely believe we are best in market.

eGR: The changes to online gaming regulations in the USA are indubitably significant to games publishers and gaming operators. How is NEKTAN addressing these changes?   

GS: Our historic links with US Lotteries meant that we were able to sign a strategic deal this year with Scientific Games to distribute electronic instant games. We believe next year things will open up further, but progress will be on a State-by-State basis. We’re taking this market opportunity very seriously by relocating a number of key employees to the US and recruiting locally to establish a domestic presence. Our approach will combine social “freemium” gaming as an entry point with a view to obtaining the relevant certifications needed to offer our real money products into the emerging network of gaming operators and platforms. One thing that we’ve noticed is that gaming on mobile devices will dominate from the start in the US – something that plays well into our mobile-first strategy.

Gary Shaw is a pioneer of offshore betting. In 2000 he set up Tribeca tables with Victor Chandler, the first online poker network. In 2002 Gary left VC to create St. Minver launching the IPN Poker network and the IBN Bingo Network. St. Minver was acquired in 2008 by GTECH where Gary stayed on to explore US Lottery opportunities until he established NEKTAN in 2011.

NEKTAN signs game licensing development and integration agreement with Spin Games
